Legal Agreement and Binding Nature

These Terms and Conditions constitute a legally binding agreement between you and The Apex Partnership. By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.

Article 10: Limitation of Liability

To the maximum extent permitted by applicable law, The Apex Partnership shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  1. 10.1 Your access to, use of, or inability to access or use our services
  2. 10.2 Any conduct or content of third parties on our services
  3. 10.3 Unauthorized access, use, or alteration of your transmissions or content
  4. 10.4 Any financial decisions or investments made based on information from our services

Article 11: Consequential Damages Exclusion

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you to The Apex Partnership in the twelve months preceding the claim, or CAD $1,000, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

Article 12: Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of nature, war, terrorism, labor disputes, government actions, internet service interruptions, or other force majeure events.

Governing Law and Dispute Resolution

Article 13: Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for resolution of any disputes.

Article 14: Dispute Resolution Procedures

In the event of any dispute arising from these Terms and Conditions:

  1. 14.1 The parties agree to first attempt resolution through good faith negotiation
  2. 14.2 If negotiation fails, parties may pursue mediation before commencing legal proceedings
  3. 14.3 Any legal action must be commenced within one year of the claim arising
  4. 14.4 You waive any right to participate in class action lawsuits or class-wide arbitration

Article 15: Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid under applicable law, such provision shall be modified to reflect the parties' intention as closely as possible, or if modification is not possible, it shall be severed. The remaining provisions shall continue in full force and effect.

Article 16: Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices published on our website, constitute the entire agreement between you and The Apex Partnership regarding use of our services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Article 17: Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through prominent notice on our website or via email. Your continued use of our services following such notification constitutes acceptance of the modified terms. We encourage you to review these terms periodically.

Article 18: Waiver

Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
